Whitfield & Eddy attorneys work with owners and managers of small to mid-market business entities and assist at all points of the business cycle from formation, ownership agreements, mergers, acquisitions, and dissolutions. General business matters are an area of emphasis for our attorneys and include contract review, real estate transactions, entity maintenance, and other aspects of business law.
We align ourselves with client goals by developing an understanding of their business strategy and provide integrated legal representation necessary for their success. As many of the challenges facing our clients involve multiple, overlapping legal issues, we work closely with attorneys from our other service areas to provide solutions.
Corporate Formation and Governance
Closely held corporations, family-owned businesses, emerging and middle-market companies work with our attorneys in all areas of entity formation. We help clients identify and establish the most effective business structures for their unique objectives and markets, and negotiate a broad range of shareholder, vendor, employment, tax exemption determinations, and other agreements and contracts that enable companies to establish a solid footing from the outset.
Our corporate and commercial attorneys provide advice and assistance to clients concerning the choice of the appropriate organizational form and structures and the preparation of associated documentation; drafting of corporate resolutions, by-laws and other corporate governance materials; drafting of shareholder, partnership, limited partnership and limited liability documentation, as well as operating, joint venture and voting trust agreements, and similar documentation.
Mergers and Acquisitions
A merger, acquisition, or divestiture transaction is often a pivotal event in the life of a business. No deal occurs in a vacuum. Each is different in its own and often varied ways. Our lawyers make a determined effort to understand our clients, their business, their competitive and regulatory pressures, their transactional objectives, and to work with the client as a cohesive and collaborative team.
Our involvement includes negotiating and drafting of letters of intent, memoranda of understanding, term sheets, stock purchase, asset purchase, and merger agreements; legal opinions, joint venture agreements, limited liability company agreements, partnership agreements, and agreements evidencing debt and equity investments. We routinely conduct and counsel clients on due diligence review of target entities and negotiating and drafting of related transaction documents including employment and consulting agreements, shareholders agreements, earn out agreements, general and specific releases, and other corporate documents.
Our litigators have extensive experience in a broad range of corporate litigation, including shareholder lawsuits, employment contracts, non-compete agreements, corporate control and other management disputes, insurance coverage disputes, and transactional disputes.
